Welcome to LotPilot Inc ("LotPilot," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, software, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use LotPilot.

2. Use of Services
You may use our Services only if you:
- Are at least 18 years old (or the legal age in your jurisdiction),
- Have the authority to enter into these Terms on behalf of yourself or your organization, and
- Comply with all applicable laws and regulations.
LotPilot grants you a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes only.
3. Accounts
To access certain features, you must create an account. You are responsible for:
- Maintaining the confidentiality of your login credentials,
- All activities occurring under your account, and
- Promptly notifying us of any unauthorized use.
LotPilot is not responsible for any loss arising from unauthorized account access.
4. Acceptable Use Policy
You agree not to:
- Use the Services for unlawful, fraudulent, or abusive purposes;
- Attempt to reverse-engineer, decompile, or modify our platform;
- Upload viruses, scripts, or malicious code;
- Interfere with system integrity or performance;
- Use automated bots to scrape or overload our systems without permission.
We reserve the right to suspend or terminate accounts that violate these rules.
5. Dealer Data & Content
Dealers using LotPilot retain ownership of their inventory data, media, and communications uploaded to the platform. By using LotPilot, you grant us a non-exclusive, worldwide license to store, process, and transmit that data as needed to deliver the Services (e.g., posting inventory to Facebook Marketplace, sending messages via AI agents, etc.).
You represent that all data you provide (inventory, contact info, etc.) is accurate, lawful, and owned or authorized for use.
6. Payments and Billing
LotPilot operates on a monthly subscription model. Fees are billed in advance on a recurring monthly basis. Payments are non-refundable except as required by law. You authorize LotPilot to automatically charge your selected payment method. Late or failed payments may result in suspension or termination of your account.
7. Termination
You may cancel your subscription at any time by contacting support@lotpilot.com. We may suspend or terminate your account if:
- You breach these Terms,
- Fail to pay subscription fees, or
- Misuse the platform in a way that harms our systems or reputation.
Upon termination, your access to the Services will cease, and we may delete your stored data after a reasonable retention period.
8. Intellectual Property
All LotPilot software, code, branding, and related materials are the exclusive property of LotPilot Inc and protected under U.S. and international intellectual property laws. Nothing in these Terms transfers ownership to you. You may not use LotPilot trademarks, logos, or materials without prior written consent.
9. Disclaimer of Warranties
Our Services are provided "as is" and "as available." LotPilot makes no warrantiesexpress or impliedincluding warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that:
- The Services will be error-free or uninterrupted,
- Leads or sales will be generated, or
- Facebook or third-party platforms will always permit integration or access.
Dealers are responsible for compliance with third-party platform terms (e.g., Facebook Marketplace policies).
10. Limitation of Liability
To the fullest extent permitted by law:
- LotPilot shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, profits, or data.
- Our total liability for any claim shall not exceed the amount paid by you to LotPilot in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless LotPilot Inc and its affiliates, officers, and employees from any claims, damages, or expenses arising from:
- Your use of the Services,
- Violation of these Terms, or
- Infringement of any third-party rights.
12. Changes to Services or Terms
We may update or modify the Services and these Terms at any time. Changes take effect when posted on our website. Your continued use of LotPilot after changes means you accept the revised Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute or claim shall be resolved by binding arbitration in Delaware, under the rules of the American Arbitration Association (AAA). You waive the right to participate in any class action.

15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LotPilot regarding your use of the Services, superseding any prior agreements.
